SMS Terms & Conditions

These SMS Terms & Conditions ("SMS Terms") govern text messages sent through the Overwatch surveillance rental platform (the "Service") operated by Mac's Tech LLC, a Utah limited liability company doing business as Overwatch ("Overwatch," "we," "us," or "our"). By opting in to receive SMS messages from Overwatch, you agree to these SMS Terms. These SMS Terms supplement, and are incorporated into, our Privacy Policy.

1. Definitions

• "You" means the individual receiving SMS messages or providing a phone number for SMS delivery.
• "Customer" means the company or individual that has rented mobile surveillance equipment from Overwatch.
• "Authorized Recipient" means any phone number entered into the rental form, including the primary contact and any additional recipients designated by the Customer.
• "Transactional Messages" means non-marketing SMS messages directly tied to the operation of an active rental.

2. Program description

Overwatch operates an SMS notification program that delivers Transactional Messages related to mobile surveillance trailer rentals. Messages may include:

• Rental confirmations issued at the time a rental is created
• Camera access links permitting Authorized Recipients to view live and recorded video associated with the rental
• Renewal notifications and replacement access links, typically issued every thirty (30) days while the rental remains active
• Service notices, including site issues, billing reminders, expiration warnings, and end-of-rental notifications
• Verification messages required to confirm opt-in or opt-out status

Overwatch does not use this SMS channel to send advertising, marketing, or promotional content unrelated to your active rental.

3. Consent and authorization

By submitting the rental form on overwatch.tech and checking the SMS consent box, you represent and warrant that:

• You are at least eighteen (18) years of age and a resident of the United States
• You are the owner or authorized user of the primary phone number you submit
• You have obtained express prior consent from each Additional Recipient whose phone number you provide, and you are authorized to enroll those individuals in this SMS program on their behalf
• The phone numbers you provide are accurate and current

You agree to indemnify Overwatch against any claim arising from a phone number submitted without proper authorization. Consent to receive SMS is not a condition of any purchase, but Overwatch may not be able to deliver camera access information without it.

4. Message frequency

Frequency varies based on rental activity. A typical thirty-day rental cycle results in approximately one (1) confirmation message at rental start and one (1) renewal message every thirty (30) days while the rental remains active. Service notices may be sent on an as-needed basis.

5. Cost

Message and data rates may apply. Such rates are determined by your mobile carrier and are not collected by, set by, or paid to Overwatch. Check your wireless plan for details. Overwatch is not responsible for any carrier charges incurred as a result of participating in this SMS program.

6. HELP and STOP keywords

HELP: Reply HELP to any Overwatch SMS to receive instructions and a contact email for assistance.

STOP: Reply STOP to opt out at any time. After replying STOP, you will receive a single confirmation message acknowledging the opt-out and will not receive further SMS unless you re-enroll. To re-enroll, contact us at the email below or submit a new rental form with SMS consent checked.

Other keywords supported include CANCEL, END, QUIT, UNSUBSCRIBE, and OPTOUT, each of which has the same effect as STOP.

7. Supported carriers

This SMS program is compatible with major United States carriers, including AT&T, T-Mobile, Verizon Wireless, US Cellular, Sprint, Boost Mobile, MetroPCS, Cricket, Virgin Mobile, and most regional carriers. Carriers are not liable for delayed or undelivered messages. Service may be unavailable in certain areas or on certain networks.

8. Delivery and reliability

SMS delivery is dependent on third-party telecommunications networks and is not guaranteed. Overwatch is not responsible for messages delayed, undelivered, or altered by carrier or device behavior, network outages, hardware or software issues, or any cause outside Overwatch's reasonable control. Delivery delays may affect access to camera feeds; Customers requiring guaranteed access should retain the email confirmation as a backup.

9. Privacy and data handling

Phone numbers, message content, and message metadata are processed by Overwatch and its SMS delivery provider, Twilio Inc., as well as your mobile carrier in the course of message delivery. We do not sell, rent, or share SMS opt-in data with any third party for promotional purposes, and we do not share opt-in data with affiliates for their own marketing. Consent records, including the phone numbers, IP addresses, and timestamps associated with opt-ins and opt-outs, are retained as required for regulatory compliance. 10. Acceptable use

You agree not to use the Overwatch SMS program to:

• Submit phone numbers belonging to other persons without their express prior consent
• Submit fake, fraudulent, or randomly generated phone numbers
• Engage in any unlawful, harassing, fraudulent, or abusive conduct
• Attempt to interfere with the SMS program's normal operation or with carrier networks

Overwatch reserves the right to refuse, suspend, or terminate SMS service to any recipient or rental at its sole discretion if it suspects a violation of these SMS Terms.

11. Disclaimers

The Overwatch SMS program is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation any warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or uninterrupted availability. Overwatch does not warrant that messages will be delivered timely, without delay, or at all.

12. Limitation of liability

To the maximum extent permitted by law, in no event shall Overwatch, its parents, subsidiaries, affiliates, officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, use, goodwill, or other intangible losses, arising out of or in connection with the SMS program, regardless of the legal theory. In no event shall Overwatch's aggregate liability arising out of or relating to the SMS program exceed one hundred dollars (US$100.00).

13. Indemnification

You agree to defend, indemnify, and hold harmless Overwatch and its officers, directors, employees, agents, and affiliates from and against all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your violation of these SMS Terms or your unauthorized submission of any third party's phone number to the SMS program.

14. Modifications

Overwatch may modify these SMS Terms at any time by posting an updated version on this page. Material changes will be reflected with a new "last updated" date. Continued participation in the SMS program after a modification constitutes acceptance of the revised SMS Terms. If you do not agree, reply STOP to discontinue.

15. Governing law and venue

These SMS Terms are governed by the laws of the State of Utah, without regard to its conflict-of-laws principles. Any dispute arising from or relating to the SMS program shall be brought exclusively in the state or federal courts located in Utah, and you consent to the personal jurisdiction of those courts.

16. Severability

If any provision of these SMS Terms is held to be invalid or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect.

17. Entire agreement

These SMS Terms, together with the Privacy Policy and any rental agreement between you and Overwatch, constitute the entire agreement between you and Overwatch concerning the SMS program and supersede all prior or contemporaneous understandings on the subject.
